The homeless woman is Emily (Brooke's mom) who died in a car accident that happened when jax's dad hit the semi. She's always around during poignant moments so she represents the angel of death in many ways.

Probably because it is intentionally vague.

Like you, I viewed her as the Angel of Death. And if I recall, only the Tellers could could interact with her. But didn't Kurt Sutter go on record stating that she is whatever the viewer wants her to be?
