Why did Jacob sell his business to Malachi

I saw the part where Jacob threatened to burn the place if Malachi did not reveal information. Why was he forced to sell his interest in the business?

Malachi owned the Red Pony (the bar), he manipulated Henry into selling it to him when Henry went to prison. Jacob Nighthorse (the guy who owns the Casino) threatened Malachi (his former employee, the head of security at the Casino) into selling the Red Pony BACK to Henry. He was helping Henry out.

For something to be regarded as a sale, money has to be exchanged...... Malachi stole the bar, no money was exchanged - Henry was ripped off......
He said to Malachi that he could have the bar if he (henry) went to prison..... Malachi pre-emptied the decision and changed the locks before Henry released he'd been duped by a con-man....
Henry lost both the $40K from the safe and his bar - due to a dirty conman being aided by an equally dirty conman (Darius)
Nighthorse discovered that Henry had been duped and offered to help Henry get his bar back!
